What this course is about

A grounded, hands-on introduction to the corporate law concepts that come up on real deals: company forms, shareholders and directors, share transfers, basic corporate governance, and the paperwork that flows around a transaction. No cold theory — everything is tied back to what a junior lawyer is likely to touch in their first year.

What we cover

  • 1Company formation and choosing between SA, SARL and SAS
  • 2Constitutional documents: statuts and shareholder agreements
  • 3Capital structure, contributions in kind, premiums and dilution
  • 4Shareholder rights: voting, information, dividends and exit
  • 5Governance bodies: board, general meetings and management
  • 6Conflict controls, fiduciary duties and regulated agreements
  • 7The annual compliance cycle: accounts, dividends, filings
  • 8Reading a company from its documents, plus a full case study workshop

What you'll walk away with

Follow a corporate transaction from a distance and understand what is happening
Read a shareholders' agreement or set of articles and pick out what matters
Draft simple corporate documents with confidence
Ask the right questions of a senior lawyer instead of nodding along

Edward Noakes

Founder & Instructor, MBLP

Edward founded the Moroccan Business Law Port (MBLP) to share the practical know-how that too often gets picked up by chance in a first job. He is not a veteran lawyer with decades on the clock, but he has been in and around law firms long enough to guide a good number of interns and law students — and to notice the same gaps between university and the workplace, again and again. MBLP is his way of helping the next intake arrive a little sharper, a little more confident, and ready to take on real work from day one.

Small on purpose

Every MBLP cohort is capped at 20 places. Enough for a proper group, small enough that your instructor knows your work.
